Part A: Terms of Learner Enrollment (One‑Page Master)

1. Scope of Services

Coacharya LLC (“Coacharya”) provides leadership development (LD) and organisational development (OD) educational services, including coaching, training, mentoring, consulting, supervision, facilitation, and related learning interventions through virtual, blended, and in‑person formats.

2. Acceptance of Terms

By enrolling in, purchasing, accessing, or participating in any Coacharya program, service, event, or digital platform, you agree to be bound by the Coacharya policies listed in Part B of this document, as updated from time to time.

3. Educational Nature of Services

Coacharya’s offerings are educational and developmental in nature. They do not constitute therapy, medical advice, legal advice, or guarantees of certification, employment, business outcomes, or financial results.

4. Intellectual Property

All Coacharya frameworks, methodologies, materials, recordings, and brand assets remain the exclusive intellectual property of Coacharya LLC. Enrollment grants a limited, non‑transferable right to use materials for personal learning only.

5. Fees, Cancellations, Refunds, and Transfers

Program fees, payment terms, cancellations, refunds, deferrals, and transfers are governed exclusively by the applicable Coacharya Pricing, Cancellation & Program Change, Refund, and Scholarship policies.

6. Code of Conduct and Participation

Coacharya reserves the right to remove or suspend participants whose conduct is disruptive, unethical, discriminatory, or inconsistent with professional coaching standards. Such removal does not entitle the participant to a refund.

7. Privacy and Data Protection

Personal data is collected and processed in accordance with Coacharya’s Privacy and Cookies Policies, applicable globally and adapted to regional legal requirements. All training programs, coaching conversations, including submissions and peer coaching sessions, webinars and other educational sessions will be recorded, and content will be used for research and educational purposes. Anyone joining our educational programs related to training, mentoring, evaluation, coaching, and any learning purpose is deemed to have permission from learners and customers for the use of recorded content as mentioned.

8. Governing Law

Unless otherwise required by mandatory local law:

  • USA: Governed by the laws of the State of California, in which Coacharya LLC is registered

All content is protected under applicable trademark and copyright laws, even where formal registration has not been completed.

3. Trademark Usage

Coacharya brand names and frameworks are protected as common-law trademarks.

  • The ™ symbol may be used to indicate proprietary ownership.
  • The ® symbol is used only where a mark is formally registered and shall not be used otherwise.

Correct usage examples:

  • Coacharya™
  • Coacharya SPEED™ Framework

Brand names must be used as adjectives, not as verbs or generic nouns, and must not be altered, pluralised, or combined with other brand identities without permission.

4. Permitted Use

The following uses are permitted with appropriate attribution:

  • Educational reference to Coacharya™ frameworks
  • Use by authorised faculty, partners, and licensees
  • Quotation or citation for non-commercial, academic, or review purposes

All permitted use must:

  • Clearly acknowledge Coacharya as the source
  • Preserve original naming and structure
  • Comply with any applicable faculty or licensing agreements

5. Prohibited Use

The following actions are strictly prohibited without written authorisation:

  • Claiming ownership of Coacharya frameworks or content
  • Reproducing, selling, or distributing Coacharya materials commercially
  • Creating derivative or competing programs based on Coacharya IP
  • Registering trademarks, domains, or social handles using Coacharya names
  • Modifying, rebranding, or removing attribution from Coacharya assets

Unauthorised use may result in legal or contractual action.

6. Logo and Visual Identity

Coacharya logos, wordmarks, and visual assets may only be used:

  • In approved formats
  • Without alteration to colour, proportion, or composition
  • In accordance with the official Coacharya brand guidelines

Logos may not be combined with other brands without explicit approval.

7. Faculty, Partner, and Licensee Responsibilities

Faculty and partners acknowledge that:

  • All Coacharya frameworks and materials remain Coacharya’s exclusive IP
  • Authorisation is limited to agreed contexts and durations
  • Rights terminate upon conclusion of the engagement

These obligations survive the end of any formal relationship.

8. Attribution Statement

Where Coacharya IP is referenced, the following statement is encouraged:

Coacharya™, SPEED™, 7P™, DEMO™, LASIE SET™, and related frameworks are proprietary intellectual property of Coacharya. All rights reserved.

9. Enforcement and Updates

Coacharya reserves the right to:

5. Cancellation & Program Change Policy

We also recognise that unforeseen circumstances may arise. This policy explains our approach to cancellations, transfers, and program changes while balancing fairness to all participants and the integrity of our cohort-based programs.

Program Investment and Cohort Structure

Coacharya programs are intentionally designed for limited cohort sizes to ensure depth of learning, personalized faculty engagement, and strong peer interaction. This cohort-based design requires planning, faculty allocation, and administrative preparation. As a result, withdrawals or changes after a program has commenced may be difficult to accommodate without impact.

Accordingly, this policy prioritises:

  • Program quality and continuity for all participants
  • Fair and consistent treatment of individual requests
  • Reasonable flexibility where circumstances warrant

Cancellations and Transfers

1. Transfer instead of Cancellation

In most cases, rather than offering a refund, Coacharya may allow participants to transfer their enrollment to a future cohort or program that better fits their availability. Such transfers are:

  • Typically valid for a defined period determined by Coacharya
  • Non-transferable to another individual unless expressly approved

2. Unforeseen or Extenuating Circumstances

  • Deferral to a future cohort
  • Partial credit toward another program

3. Change of Cohort After Program Commencement

If a participant has already attended sessions with a cohort and later seeks to discontinue and join a different cohort:

  • This will be treated as a cancellation from the current cohort and a new admission into another cohort
  • Coacharya reserves the right to assess eligibility and readiness for transfer
  • Transfers requested after a specified number of sessions may incur additional administrative or program fees

Decisions in such cases will be made at Coacharya’s discretion, taking into account learning continuity, cohort integrity, and program capacity.

General Refund Policy

Coacharya programs are designed with limited cohort sizes to ensure depth of learning, personalized faculty engagement, and a high-quality participant experience. As such:

  • Refunds are generally not provided for program withdrawal, non-attendance, or partial attendance once a program has commenced.
  • Program fees reflect advance faculty planning, administrative preparation, and reserved cohort capacity, which cannot typically be replaced at short notice.

Instead of a refund, Coacharya will ordinarily offer:

  • Deferral or transfer to an equivalent program or cohort, subject to availability, within 12 months of the start date of the original program.

Change of Trainer

Participants who wish to request a change of trainer may do so within the first three scheduled sessions only, subject to:

  • Availability of an alternative trainer
  • Approval by Coacharya management

Such requests do not constitute grounds for a refund.

Exceptions and Extenuating Circumstances

In rare cases, Coacharya may consider a full or partial refund where unforeseen and unavoidable circumstances prevent continued participation. These requests:

  • They are evaluated strictly on a case-by-case basis
  • Are granted solely at Coacharya’s discretion
  • Do not establish a precedent for future requests

Learners do not have an automatic right to a refund. Where appropriate, accommodation through program transfer or deferral remains the preferred option.

Participants who believe they qualify for consideration under extenuating circumstances must:

Ethical Foundations
This Code is informed by and aligned with the ethical principles and professional standards of leading global bodies, including the International Coaching Federation (ICF) and the European Mentoring and Coaching Council (EMCC), while reflecting Coacharya’s systemic and integrative philosophy.

Standards of Conduct
All participants and representatives of Coacharya are expected to:

  • Act with integrity, honesty, and professional responsibility
  • Respect the dignity, autonomy, and diversity of all individuals
  • Maintain appropriate professional boundaries
  • Avoid conflicts of interest, or disclose them transparently where unavoidable
  • Represent qualifications, certifications, and affiliations accurately
  • Refrain from misleading claims, guarantees of outcomes, or unethical influence

Learning and Assessment Integrity
Participants agree to:

  • Complete assessments and submissions honestly and independently
  • Do not plagiarise, misrepresent work, or misuse Coacharya’s intellectual property
  • Respect cohort learning norms and faculty guidance

Confidentiality and Respect
All parties must respect the confidentiality of personal disclosures shared during programs, subject to legal and safety exceptions.

Consequences of Breach
Coacharya reserves the right to investigate ethical concerns and take appropriate action, which may include warnings, removal from a program, revocation of certification, or termination of affiliation, without refund.

Purpose
This policy clarifies how session recordings are handled and establishes confidentiality expectations to protect participants, faculty, and Coacharya.

Session Recordings
Coacharya programs may include recorded sessions for:

  • Educational review
  • Faculty development
  • Learner reflection or assessment

Where recording occurs:

  • Participants will be informed in advance
  • Recordings will be used only for legitimate educational or quality purposes
  • Access will be restricted to authorised individuals

Participants may choose to mute audio, disable video, or refrain from sharing sensitive information during recorded sessions.

Learner Recordings
Participants may not record sessions independently without explicit written permission from Coacharya and all affected participants.

Confidentiality Boundaries
Participants agree to:

  • Maintain confidentiality of personal or organisational information shared by others
  • Do not disclose peer or client information outside the learning context

Confidentiality may be limited where disclosure is required by law, regulation, or to address the risk of harm.

Data Handling
Recordings and related materials are stored securely and retained only for as long as necessary, in alignment with Coacharya’s Privacy Policy.

Anonymized data may be used for research, education, and product development

11. HUMAN RESOURCES POLICY

(Global, Remote Workforce)

Effective Date: 1 January 2026
Applies To: All contracted service providers, faculty, facilitators, associates, and advisors
Jurisdiction: United States (globally applicable by principle)

1. Purpose

This Human Resources Policy establishes the principles, standards, and expectations governing engagement, performance, conduct, and collaboration within the organization. It supports a high-trust, inclusive, and accountable work environment aligned with our mission as a leadership development education provider.

 

2. Employment & Engagement Framework

  1. The organization operates with a remote-first, contract-based service model.
  2. Engagement is based on clearly defined scopes of work, deliverables, and outcomes.
  3. No policy herein shall be construed as creating an employer–employee relationship unless explicitly stated in a written agreement.
  4. Work is evaluated based on outcomes, quality, and impact, not hours logged.

4.1 Performance Philosophy

4.2 Remuneration Principles

  • Compensation is fair, role-aligned, and market-informed
  • Remuneration may be reviewed periodically based on:
    • Performance impact
    • Role criticality
    • Expanded responsibilities
    • Organizational sustainability
  • Performance-linked incentives may apply where contractually specified

Tenure alone does not determine compensation adjustments.

4.3 Holidays

  • Statutory national holidays of the Country, generally not more than 10
  • Additionally, depending on need and merit, a maximum of 10 paid holidays

 

5. Collaboration & Engagement Expectations

Collaboration is a core requirement.

All service providers are expected to:

  • Communicate clearly and respectfully
  • Participate meaningfully in agreed collaboration forums
  • Share relevant information transparently
  • Respond in a timely and professional manner

Remote work requires intentional engagement and clarity, particularly in asynchronous environments.

 

6. Initiative, Ownership & Accountability

The organization values:

  • Proactive initiative
  • Responsible decision-making
  • Ownership beyond formal role definitions

With autonomy comes accountability:

  • Commitments must be honored
  • Issues must be surfaced early
  • Errors are addressed through learning and corrective action
  • Blame-oriented behavior is discouraged

 

7. Learning, Wellbeing & Sustainability

As a leadership development organization:

  • Continuous learning is encouraged at all levels
  • Sustainable work practices are prioritized
  • Wellbeing, reflection, and recovery are respected

Excessive overwork is not considered a performance indicator.

 

8. Confidentiality, Data Protection & Intellectual Property

  1. All confidential, proprietary, client, learner, and organizational information must be protected.
  2. Information may only be used for authorized purposes.
  3. Intellectual property created under contract shall be governed by applicable agreements.
  4. Breach of confidentiality may result in termination of engagement and legal action.

 

9. Policy Governance & Amendments

This policy:

  • Serves as a guiding framework
  • May be updated periodically
  • Does not replace contractual obligations or applicable laws

 

CODE OF CONDUCT & ETHICS ADDENDUM

1. Ethical Standards

All individuals representing the organization are expected to uphold the highest standards of integrity, professionalism, and ethical behavior.

This includes:

  • Honesty in communication
  • Accuracy in representation of credentials and capabilities
  • Respect for clients, learners, colleagues, and partners

 

2. Professional Conduct

Expected conduct includes:

  • Respectful and inclusive behavior
  • Constructive feedback and dialogue
  • Appropriate boundaries in professional relationships

Unacceptable conduct includes:

  • Harassment or intimidation
  • Discrimination or retaliation
  • Abusive or disrespectful communication
  • Misuse of authority or influence

 

3. Conflicts of Interest

All actual or potential conflicts of interest must be disclosed promptly.
Individuals must avoid situations where personal interests could improperly influence professional judgment.

 

4. Use of Organizational Name & Representation

  • The organization’s name, materials, and brand must be used responsibly and accurately.
  • Public statements or representations must align with agreed roles and permissions.

 

5. Reporting Concerns

Ethical concerns or policy violations should be reported promptly through designated channels.
Reports made in good faith will not result in retaliation.

 

6. Enforcement

Violation of this Code may result in:

  • Corrective action
  • Suspension of engagement
  • Termination of contract
  • Legal remedies where applicable
